Gift of Life Marrow Registry does not meet the following 1 Standards for Charity Accountability:
Standard 5 (Conflict of Interest)
No transaction(s) in which any board or staff members have material conflicting interests with the charity resulting from any relationship or business affiliation. Factors that will be considered when concluding whether or not a related party transaction constitutes a conflict of interest and if such a conflict is material, include, but are not limited to: any arm's length procedures established by the charity; the size of the transaction relative to like expenses of the charity; whether the interested party participated in the board vote on the transaction; if competitive bids were sought and whether the transaction is one-time, recurring or ongoing.
GLMR does not meet this Standard because:
- According to the organization's 2022 consolidated audited financial statements, "Biologics [a wholly owned subsidiary of GLMR] issued several convertible notes to various officers and board members of Biologics and the Registry. Convertible notes and accrued interest on the convertible notes as of December 31, 2022 and 2021 were $1,625,000 and $83,770, and $1,575,000 and $19,104, respectively." GLMR reports that in February 2025, the notes and accrued interest were converted into stock in Biologics.
It is the opinion of BBB WGA that GLMR does not meet this Standard because this circumstance constitutes a conflict of interest. Following the conversion of these notes, several board members, their family members and a staff member became part-owners in Biologics, which is still an affiliate of GLMR. In addition, the charity indicated that some board members purchased additional stock beyond their converted amount.
Gift of Life Marrow Registry meets the remaining 19 Standards for Charity Accountability.
